Terms of service
The ground rules for working with us and for using our software.

A note on this template
These terms reflect how we actually work, but they are not legal advice and they do not replace a signed contract. Every engagement runs under its own agreement — have both reviewed by a qualified adviser.
1. Who these terms are with
SoftCity Solutions (Pvt) Ltd (Company Reg. 0123456). Using this website or our software means you accept these terms. If you do not, please do not use them.
2. Services
Development work is governed by a separate written agreement covering scope, timeline, rates and acceptance. Nothing on this website constitutes a binding quotation — prices shown are indicative starting points, and a real figure follows discovery.
3. Intellectual property
On full payment, you own the code we write for you outright, from the first commit. We retain the right to reuse general knowledge, techniques and non-client-specific components. We will not reuse anything specific to your business, and we will not name you as a client without written permission.
4. Payment
Invoices are issued monthly in arrears unless the agreement says otherwise, payable within 14 days. Work may be paused on accounts more than 30 days overdue, after written notice. Third-party costs are passed through at cost with no markup.
5. Website Builder accounts
You own the content you create and are responsible for it being lawful and for holding the rights to any material you upload. We may suspend an account used to publish unlawful content, distribute malware, or attack others. You can export your sites and close your account at any time.
6. Availability
We work hard to keep our services available, but we do not guarantee uninterrupted service on free plans. Availability commitments for paid engagements are stated in the relevant agreement.
7. Liability
Nothing here excludes liability that cannot lawfully be excluded. Subject to that, our total liability under an engagement is limited to the fees paid in the preceding twelve months, and neither party is liable for indirect or consequential loss.
8. Ending an engagement
Either party may end an engagement with 30 days' written notice. On exit you receive everything: code, infrastructure, documentation, runbooks and credentials, with a structured handover. We do not hold work hostage.
